Terms of service

The agreement between Via and the merchants who run their stores on it.

1. The service

Via, presented at runonvia.com, provides a hosted commerce platform: a storefront per brand, catalog, cart and checkout, orders, payment tracking, delivery, returns, inventory, customer accounts, notifications, growth measurement, finance and the Via Admin application. Via is operated by ODX (OPEN: legal entity). Some capabilities depend on third parties (payment providers, couriers, Meta, WhatsApp, email providers) and are available as described on the Integrations page.

2. Accounts and staff

A merchant is an organization with one owner account and any number of staff accounts within the seats of its tier. Each person signs in with their own account and is responsible for what is done with it. The owner is responsible for who is granted access and with which role.

3. Tiers, Setup Mode and fees

Via offers the tiers described on the Pricing page. Prices have not been announced (OPEN). Until they are, no fee is charged and no payment method is collected.

  • Setup Mode. A new store is built as a draft with Via. During Setup Mode the tier is recorded and nothing is billed.
  • Launch. Billing for the tier starts when the store is launched, which Via confirms with the merchant. OPEN: billing interval, currency, invoicing and payment method (decided together with the billing provider).
  • Founding merchants. OPEN: the founding-merchant terms (eligibility, duration, price) will be stated here once decided.
  • Taxes. OPEN: how VAT and e-invoicing apply to Via's fees.
  • Provider fees. Fees charged by a merchant's payment provider, courier or messaging provider are the provider's and are between the merchant and that provider.

4. Merchant responsibilities

  • The merchant owns its brand, catalog, prices, customer relationships and the accounts it connects (payment provider, Meta, WhatsApp, domain).
  • The merchant is responsible for its products, its customers' orders, returns and refunds, and for the taxes on its own sales.
  • The merchant is responsible for having the consents it needs from its customers for marketing measurement and messaging, and for using Via's tools in line with the third-party platforms' rules.
  • The merchant must not use Via for unlawful goods or activities, or attempt to access another merchant's data.

5. What Via does and does not do

  • Via keeps each merchant's data isolated, audits every staff change, and never receives card numbers.
  • Via does not hold merchants' sales proceeds. Payments settle between the merchant's customers and the merchant's payment provider or, for cash and bank transfer, directly with the merchant. Card acceptance through ODX-managed routing is settled to the merchant under a per-store settlement setting (OPEN: the standard terms).
  • AI assistants in Via observe and propose; a person approves anything that touches customers or money.

6. Data

The merchant is responsible for its customers' personal data; Via processes it on the merchant's behalf as described in the Privacy policy. OPEN: a data-processing addendum, if required.

7. Availability and changes

Via is provided as a hosted service that is improved continuously. OPEN: service levels, maintenance notice and how material changes to the service or these terms are communicated.

8. Suspension and termination

A merchant can cancel its tier at any time. Cancelling does not by itself pause or delete a store; what happens to a store and its data after cancellation, and after how long, is OPEN (see Data deletion for what a merchant can request today). Via may suspend access for unlawful use or non-payment (OPEN: notice period and grace period).

9. Liability

OPEN: limitation of liability and warranty language, to be drafted by counsel.
